General conditions of sale

PREAMBLE

The seller is a publisher of products and services of biotechnology to consumers, marketed through his website (http://www.proimaging.fr). The List and description of the goods and services offered by the company may be consulted on the above-mentioned website.

Article 1: Object

These general conditions of sale determine the rights and obligations of the parties in the online products sale offered by the seller.

Article 3: Prices

Prices of products sold through the website are net prices and precisely indicated on product descriptive pages. Article 4: Conclusion of the online contract

Article 5: Products and services

The essential characteristics of the goods, services and their respective prices are made available to the buyer on the company website. The customer attests to a detailed receipt of the delivery costs and the terms of payment, delivery and performance of the contract. The seller undertakes to honor the customer's order within the limit of the stocks of products available only. Otherwise, the seller will inform the customer. Products returns are to be made in their original and complete state (packaging, accessories, package leaflet...) at the following address: LABORATOIRES SYNTH-INNOVE, 33 boulevard of General martial Valin, 75015 Paris. Shipping costs will be reimburse to the customer upon request with a copy of the payment receipt.

Article 6: Retention clause

The products remain the property of the company until the full payment is complete.

Article 7: Delivery arrangements

The products are delivered at the delivery address which was indicated at the time of the order. When the customer orders several products at the same time, they may have different delivery times. In the event of a delay in dispatch, the seller will contact the customer directly and inform him of the time limit for dispatch. The customer may then decide to continue or cancel his order within 48 hours after the date he was informed of the missing products. In the event of delay in delivery, the customer has the possibility to break off the contract under the terms and conditions laid down in Article L 138-2 of the consumer code. The seller then reimburses the product and delivery costs under Article L 138-3 of the consumer code. The seller provides a telephone contact (cost of a local communication from a fixed line) indicated in the order confirmation email to ensure the control of the order. The Seller recalls that at the time the product is handed over to the carrier chosen by the customer, the risk of loss or damage of the product is transferred to the customer. It is the customer responsibility to notify the carrier any damage or issue on the product delivered.

Article 8: Availability and presentation

Orders will be processed within our stocks availability or subject to stocks availability in our suppliers. Article 9: Payment

Payment is due immediately at the time of the order, including for pre-ordered products. The customer can make the payment by card or bank transfer. Cards issued by banks outside France must be international bank cards (Mastercard or Visa). The secure payment online by credit card is made by our payment service provider. The information transmitted is encrypted and cannot be read during transport on the Network. Once the payment has been processed by the customer, the transaction is immediately debited after verification of the information. In accordance with the provisions of the monetary and financial code, the commitment of paying by card is irrevocable. By communicating its banking information upon sale, the customer authorizes the seller to debit its card from the price indicated. The customer confirms that he is the legal holder of the card to be charged and is legally entitled to use it. In case of error or inability to charge the card, the sale is immediately ended, and the order cancelled.

Article 10: Deadline for retraction

In accordance with Article L. 121-20 of the consumer code, "the consumer has a period of 14 days to exercise his right of withdrawal without having to justify grounds or to pay penalties, except where applicable, return costs. The right of withdrawal may be exercised by contacting the company by registered letter with recorded delivery. Article 11 : Guarantees

In accordance with the law, the seller assumes two guarantees: compliance and relating to hidden vices of products. Article 13: Responsibility

Any claim from the customer, in particular any claim for damages - as a result of loss of profits, other materials damage or any other damage is excluded. PROIMAGING will assume no liability under this contract for services provided by third parties on the basis of a separate contract with the client. All responsibility of PROIMAGING is excluded, in particular, when the products have been used for purposes other than those indicated on the technical sheet of the product. By ordering, the client confirms that the products he purchased will be used only for research purposes. The user must have a good knowledge of the handling procedure for these products and of the applicable legal provisions. Products may only be used by qualified personnel in laboratories equipped for that purpose and should not be passed on to private persons. The customer must ensure that the products purchased are used in compliance with the applicable rules of use and security and are eliminated properly.

Article 14: Intellectual property rights

Trademarks, domain names, products, software, images, videos, texts or more generally any information object of intellectual property rights are and remain the exclusive property of the seller. No transfer of intellectual property rights is performed through these GSC. Any total or partial reproduction, modification or use of such goods for any reason is strictly prohibited.

Article 15: Force majeure

The performance of the seller obligations is suspended in the event of a fortuitous case or force majeure which would prevent the execution. The seller will notify the customer of the occurrence of such an event as soon as possible.

Article 16: Invalidity and amendment of the contract

If one of the stipulations of this contract was cancelled, this invalidity would not entail the invalidity of other stipulations which will remain in force between the parties. Any contractual modification shall be valid only after a written agreement and signed by the parties.

Article 17: Protection of personal data

In accordance with the Law of the European Union and liberties of 6 January 1978, you have the right to interrogate, access, modify, object and rectify the personal data concerning you.
