Terms & condition of use - PREAMBLE


The seller is a publisher of products and services of biotechnology to consumers, marketed through his website (www.proimaging.fr). The list and description of the goods and services offered by the company may be consulted on the above-mentioned website.

Article 1: Object

These general conditions of sale determine the rights and obligations of the parties in the products sale offered by the seller.

Article 2: General provisions

These General Sales Conditions (GSC) apply to all sales of products which is an integral part of the contract between the buyer and the seller. The seller reserves the possibility of modifying the present, at any time by the publication of a new version on its website. The GSC applicable then is those in force on the date of payment (or the first payment in multiple payments) of the order. These GSC are available on the company website at

Terms & conditions of use. The customer declares that he has taken notice of all these general conditions of sale and accepts them without restriction or reserve. The customer acknowledges that he has received the necessary advice and information to ensure that the supply is adequate to meet his needs. The customer declares that he can legally contract under French laws or validly representing the natural or legal person for which he is committed. Unless proven otherwise, the information recorded by the company is proof of all transactions.

Article 3: Prices

Prices of products indicated on the website are net prices and precisely announced on product descriptive pages. They are also indicated all taxes included (vat + other possible taxes) on the product order form and including specific shipping costs. For all products dispatched outside the European Union and/or DOM-TOM, the price is calculated excluding taxes on the invoice. Customs duties or other local taxes or import duties or taxes of state may be payable in certain cases. These rights and sums are not the responsibility of the seller. They shall be supported by the buyer and fall under its responsibility (declarations, payment to the competent authorities, etc.) The seller shall invite the buyer to inquire about all these aspects to the corresponding local authorities. The company reserves the possibility of changing its prices at any time in the future.

Article 4: Products and services

The essential characteristics of the goods, services, and their respective prices are made available to the buyer on the company website. The customer attests to a detailed receipt of the delivery costs and the terms of payment, delivery, and performance of the contract. The seller undertakes to honor the customer's order within the limit of the stocks of products available only. Otherwise, the seller will inform the customer. The parties agree that the illustrations or photos of

the products offered for sale do not have a contractual value. Except in special conditions, the rights are only granted to the person signatory to the order (or the person with the notified email address). In accordance with the legal provisions on conformity and hidden vices, the seller reimburses or exchanges the defective products, or which does not correspond to the order. Reimbursement can be requested by Registered letter with Recorded Delivery at the following

address: PROIMAGING SARL – 66 avenue des Champs-Élysées, 75008 Paris - France.

Products returns are to be made in their original and complete state (packaging, accessories, package leaflet...) at the following address:

LABORATOIRES SYNTH-INNOVE, 33 boulevard du Général Martial Valin, 75015 Paris - France.

Shipping costs will be reimbursed to the customer upon request with a copy of the payment receipt.

Article 5: Payment

Payment is due immediately at the time of receiving the product and invoice. The customer process to payment by wire transfer. The bank details are indicated on the invoice.

Article 6: Deadline for retraction

In accordance with Article L. 121-20 of the consumer code, "the consumer has a period of 14 days to exercise his right of withdrawal without having to justify grounds or to pay penalties, except where applicable, return costs.

The period mentioned in the previous subparagraph starts from the receiving day of the product. The right of withdrawal may be exercised by contacting the company by registered letter with recorded delivery. In the event of the exercise of the right of withdrawal within the above period, only the price of the purchase and the shipping costs will be reimbursed, the return costs remain to the customer. The returns of the products are to be made in their original and complete state (packaging, accessories, package leaflet...) so that they can be marketed again; they must be sent with a copy of the invoice. In accordance with the legal provisions, you will find below the form of retraction to send us by registered letter with recorded delivery to the address indicated on the form.

Reimbursement procedure: reimbursement will be made via wire transfer to the bank account.

Article 7: Guarantees

In accordance with the law, the seller assumes two guarantees: compliance and relating to hidden vices of products. The seller reimburses the buyer or exchanges the apparently disadvantaged products, or which does not correspond to the order. The request for reimbursement must be made by registered

letter with recorded delivery at the following address:

The Seller recalls that the consumer: - have a period of 2 years from the issue of the asset to act with the seller - that he may choose between the replacement and reparation of the property subject to the conditions laid down in the above provisions - that the consumer can also claim the guarantee against the hidden vices of the sold thing within the meaning of Article 1641 of the civil code and, in that case, he may choose between the cancellation of the sale or a

reduction in the selling price (provisions of Article 1644 of the civil code).

Article 9: Responsibility

Any claim from the customer, in particular any claim for damages - as a result of loss of profits, other materials damage, or any other damage is excluded. PROIMAGING will assume no liability under this contract for services provided by third parties on the basis of a separate contract with the client.

All responsibility of PROIMAGING is excluded, in particular, when the products have been used for purposes other than those indicated on the technical sheet of the product. By ordering, the client confirms that the products he purchased will be used only for research purposes. The user must have a good knowledge of the handling procedure for these products and of the applicable legal provisions.

Products may only be used by qualified personnel in laboratories equipped for that purpose and should not be passed on to private persons. The customer must ensure that the products purchased are used in compliance with the applicable rules of use and security and are eliminated properly.

Article 10: Intellectual property rights

Trademarks, domain names, products, software, images, videos, texts, or more generally any information object of intellectual property rights are and remain the exclusive property of the seller. No transfer of intellectual property rights is performed through these GSC. Any total or partial reproduction, modification, or use of such goods for any reason is strictly prohibited.

Article 11: Force majeure

The performance of the seller obligations is suspended in the event of a fortuitous case or force majeure which would prevent the execution. The seller will notify the customer of the occurrence of such an event as soon as possible.

Article 12: Invalidity and amendment of the contract

If one of the stipulations of this contract was canceled, this invalidity would not entail the invalidity of other stipulations which will remain in force between the parties. Any contractual modification shall be valid only after a written agreement and signed by the parties.

Article 13: Applicable law

All clauses in these general conditions of sale and all the buying and selling operations will be subject to French law.
